Terri going over the agreement and saying they have discussed the village being fiscally responsible and that village owns the land the building will be built on. Also saying that the village is taking on some liability at this point with the building. Saying the Rec Board has done a good job raising money.

Joe breaking down the agreement. The building will sit on a five acre lot of land. Permanent markers will be installed so the village isn’t in charge of any of the upkeep.

Clark Dietz has put together a list of how the building will deviate from the village’s development standards. Any deviations not in the agreement will need a formal waiver from the board.

Just a reminder: desire the SJRF serve as the initial operator and manager of the Facility under the terms of the
Agreement for the benefit of the residents of the Village, St Joseph Township and the surrounding community.

From the agreement:
SJRF shall be responsible for the day-to-day operation and management of the Facility, including but not
limited to:
 Entering into rental agreements for use of the Facility (standard form to be approved in advance by the
Village Board or its designee).
 Routine maintenance, cleaning, and janitorial services. Routine maintenance shall mean cleaning,
minor repairs such as light replacement, patching minor cracks, painting, fixing door handles, tightening loose hardware, replacing worn electrical breakers, GFI’s, and switches, repairing leaking faucets and
toilets and other minor plumbing leaks, replacing air filters, cleaning and checking HVAC, testing and
repairing emergency and security systems, and other similar minor repairs.
 Landscaping immediately adjacent to the building (Village is responsible for mowing of the broader
Property).
 Oversight and operation of any bar or alcohol service, including obtaining and maintaining all required
State of Illinois and Village liquor licenses and dram shop insurance.
 Maintaining the kitchen and complying with all Public Health requirements and certifications.
 Establishing and publishing reasonable rental rates.
 Managing all finances related to Facility operations and rentals.
 Maintaining a current public calendar of events and providing the Village with ongoing access to the
calendar.
 Keeping the Village reasonably informed of activities and coordinating to avoid conflicts with events at
the Village Sports Complex or other Village facilities.
 Complying with all applicable laws, ordinances, codes, and regulations.

Responsibilities of the Village
 Ownership of the Property and Facility.
 Insurance of the building and Property (property/casualty coverage).
 Mowing of the Property (exclusive of landscaping immediately adjacent to the building).
 Payment of utilities for the first six (6) months following the Commencement Date.
 Right of 24-hour access to the Facility and Property and the right to inspect at any reasonable time (or
at any time in case of emergency).
 Use of the Facility for official Village purposes without rental fee, provided such use does not pre-empt
a previously scheduled rental or event.
 Final authority as arbiter of disputes between SJRF and renters/users as set forth in Section 11.

Agreement approved. It’s moving forward.

Disccussing sludge hauling now. #ew #essentialservice but #ew It is a per unit cost but it usually costs $25,000. They are modifying it to be able to terminate the agreement if they sell the waste treatment system.
